1 Name Our name shall be; Viva Vauxhall
2 Area Covered; shall be Bonnington Square, Vauxhall Grove, Langley Lane and Lawn Lane (including the Academy and Park Mansions), South Lambeth Road on the south eastern side and between Lawn Lane and Langley Lane, Harleyford Road on the south western side
3) The Purpose of the group shall be; To work for the benefit, well being and improvement of the area as a whole and for all the people of the area, To foster community spirit, To provide a means of communication and consultation, with and among people throughout the area.
4) Powers; The group shall be empowered to do all such lawful things it considers necessary to further its objects. The group shall have the power to raise, hold and disburse funds and donations and grants in pursuit of its objects.
5) Representative Functions; From time to time public authorities and others, including planning authorities, may consult on proposed development and other matters affecting the area. The group may provide a channel of communication and a forum to facilitate such consultation. The group, with the agreement of a general meeting, OR of the committee, shall have the power to express and communicate the view of the group and its members provided that any alternative and minority views shall also be included in any such representations and provided that when it is felt right to express the views of the group and its members on any issue, the committee shall advertise a general meeting of members to find out their views, whenever is it appropriate and practical to do.
6) Membership shall be open to; a) Individual members being resident of the area b) Organisations, being organisations and businesses occupying premises and operating from premises in the area; any such may have ONE person to be its representative and vote on its behalf. c) Honorary members being such bodies or individuals as the committee may, at its absolute discretion, admit to membership. On inauguration, membership is open to all residents without any membership charge. The committee may determine such reasonable voluntary membership donation in each category as it sees fit. Membership in any class may be made conditional on payment of a reasonable membership subscription, provided that scheme of membership and the level of subscription, recommended by the committee is agreed by the AGM. The committee may at its absolute discretion, suspend or terminate any membership in respect of disruption or misconduct at meetings or of bringing the group into disrepute.
7) General Meetings; There shall be an Annual General Meeting once in every calendar year subsequent to the inaugural meeting, which shall be convened by the committee. Not less than six months and not more than 15months shall elapse between one AGM and the next. The business of the A.G.M shall be; To elect officers and committee, for the period until the next A.G.M To receive a report from the committee To receive a report on the group’s finances To consider the scheme of membership for the coming period, together with any membership subscription. To transact such other business as the committee have thought fit, provided that they have given notice of it. The committee may convene such other general meetings as it thinks fit. A general meeting may be requisitioned by ten or more members in writing, specifying the business to be transacted.
8) Notice and Advertisement of General meetings and voting; Fourteen days notice shall be given of all general meetings The committee shall distribute notices through the letter box of every dwelling in the area and to every organisational and honorary member, but the omission of any particular addresses shall not invalidate the meeting. The committee shall also notify the meeting by email to any members who have provided their email address. The committees shall place posters at prominent points in the area, including notices at the periphery of the area. The committee shall maintain a signing register at every general meeting. Each individual and organisation member shall have one vote. The quorum at a general meeting shall be ten Voting at General Meetings shall by a simple majority and by a show of hands, or if the meeting by a show of hands so decides, by ballot. There shall be no proxy or postal votes.
9) Officers and Committee; The first committee may be elected by those attending the inaugural meeting or if so decided by that meeting the first committee may elected at a subsequent general meeting to be convened for that purpose by the steering group. The committee shall total not more than nine members and shall be elected from the individual members and notified representatives of organisation members which shall include; A Chair or co-chairs; Secretary and Treasurer, Any additional officers’ posts, such as vice-chair etc, as the meeting thinks fit Ordinary members (of number such that the total of officers and ordinary members shall not exceed nine) The officers and committee shall hold office until the close of the Annual General Meeting subsequent to the one at which it is elected. If any post remains vacant the committee may fill it from their members at any meeting. The committee may also co-opt to itself up to six additional members The committee shall meet at least four times in each year. The committee may appoint such sub-committees and working groups as it sees fit.
10) Funds; The committee shall make arrangement for the safe-keeping of the funds of the group and is authorised to open and maintain a bank account or accounts for that purpose.
11) Constitutional Amendments; These require a two thirds majority vote of a general meeting, with notice of the proposed change having been given.
12) Dissolution; the group may be dissolved, by a two thirds majority vote at a general meeting. Should such a meeting fail to achieve a quorum a further meeting may be called by the committee, with proper notice, which may decide whether or not to dissolve the group, whether or not the meeting is quorate. Any funds remaining on dissolution shall be given to any organisation or group working the area or near it and having similar objects OR to any charity registered in the United Kingdom, OR may be spent on a social event for the members.
